Terms of service

These terms govern your use of Diwan (الديوان), a multi-tenant board and governance platform operated by Bin Haider Darwish Printing & Designing S.P.C. (BHD Group), Muscat, Oman ("we", "us"). By creating a tenant or signing in as a member you agree to these terms.

1. The service

Diwan is software that helps boards, committees and councils run meetings, decisions, audit trails, members, documents and related governance work. We offer it as Cloud SaaS at diwan.om, as a custom-domain deployment, and as on-prem Docker. Pricing is published at /#pricing.

2. Your tenant, your data

Each tenant's data lives in its own per-tenant directory. We do not mine your data, sell it, or share it with third parties. You can export your tenant's data at any time. On-prem customers' data never leaves their servers. See the Data Processing Addendum for the formal handling terms.

3. Acceptable use

Do not use Diwan to break the law, store malware, send unsolicited bulk messaging, or impersonate others. Do not attempt to access another tenant's data. We may suspend a tenant that materially breaches these terms, with notice.

4. Fees and billing

Cloud Pro and Enterprise plans are billed monthly or annually in OMR. On-prem licences are annual. Free-tier tenants pay nothing. Late payment may suspend access; restoration on payment.

5. Availability

We target 99.9% monthly uptime for Cloud Pro and Enterprise. Scheduled maintenance is announced in advance. Free tier is best-effort. On-prem availability depends on your own infrastructure.

6. Intellectual property

The Diwan platform code, brand and design language are owned by BHD Group. You retain all rights to the data and content you upload to your tenant. We grant you a non-exclusive, non-transferable licence to use Diwan for your governance work for the duration of your subscription.

7. Termination

You may close your tenant at any time. We may close a tenant after 90 days of non-payment or material breach. On termination, you have 30 days to export your data; after that, we delete it.

8. Liability

To the maximum extent permitted by Omani law, our total liability for any claim is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential losses.

9. Governing law

These terms are governed by the laws of the Sultanate of Oman. Disputes are subject to the courts of Muscat.
